Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Triactinal ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service apply to all users of our consulting services, including but not limited to clients, visitors, and anyone who accesses or uses our services related to international market expansion consulting for New Zealand businesses.

2. Service Description

Triactinal provides international market expansion consulting services specifically designed for New Zealand businesses. Our services include:

• Comprehensive market analysis and demand assessment
• Export strategy development and planning
• Local partner identification and selection
• Implementation support and ongoing consultation
• Educational workshops and training programs

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Client Responsibilities

As a client of Triactinal, you agree to:

• Provide accurate and complete information about your business and objectives
• Respond promptly to requests for information or documentation
• Maintain confidentiality of proprietary methodologies and information shared during the consulting process
• Use our services and recommendations in accordance with applicable laws and regulations
• Make payments according to the agreed terms and schedule

4. Payment Terms

Payment terms are established in individual service agreements. Unless otherwise specified:

• A 50% deposit is required before commencement of services
• Remaining balance is due upon completion of deliverables
• Late payments may incur additional charges of 1.5% per month
• All prices are in New Zealand Dollars (NZD) unless otherwise stated
• Refunds are subject to the terms outlined in individual service agreements

5. Intellectual Property

All methodologies, frameworks, templates, and proprietary materials developed by Triactinal remain our intellectual property. Clients receive a limited license to use deliverables for their specific business purposes. You may not:

• Reproduce, distribute, or sell our proprietary materials
• Reverse engineer our methodologies or processes
• Use our materials to compete with our services
• Share confidential information with third parties without written consent

6. Confidentiality

We maintain strict confidentiality regarding all client information. Both parties agree to:

• Protect confidential information shared during the consulting engagement
• Use confidential information solely for the purposes of the consulting relationship
• Not disclose confidential information to third parties without written consent
• Return or destroy confidential materials upon termination of the agreement

7. Limitation of Liability

Triactinal provides consulting services based on our professional expertise and market knowledge. However:

• We cannot guarantee specific business outcomes or results
• Our liability is limited to the amount paid for our services
• We are not liable for indirect, consequential, or incidental damages
• Market conditions and regulations may change, affecting recommendations
• Clients are responsible for their own business decisions and implementations

8. Termination

Either party may terminate the consulting agreement with written notice. Upon termination:

• Payment is due for all services rendered up to the termination date
• Both parties must return confidential materials
• Ongoing obligations regarding confidentiality continue
• Any work product completed remains the property of Triactinal until full payment is received

9. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be resolved through the courts of New Zealand, specifically in Hamilton, New Zealand. Both parties agree to attempt resolution through mediation before pursuing litigation.

10. Modifications

We reserve the right to modify these terms at any time. Changes will be posted on our website and communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.
